The public site does not publish a fill-in contract template. Instead, this page explains the structure of the service agreement that is issued once scope, pricing, and execution logic are aligned with the client.

What the service agreement covers

Xidar’s service agreement formalizes the relationship between the client and the company once a project has been commercially approved. It is the project-specific document that sets the legal and operational basis for execution.

Scope, pricing, and payment schedule

The agreement ties the approved scope to the pricing structure, payment method, and release conditions for final deliverables. It can support either full upfront payment or an approved staged structure for eligible engagements.

  • Final deliverables are released after the agreed payment condition is satisfied.
  • Taxes, banking fees, and transfer costs remain the client’s responsibility.
Client responsibilities and compliance

The agreement records the client’s obligations to provide accurate project data, maintain valid exploration rights, secure lawful access, and comply with relevant laws and regulations in the project area.

  • Permits, mineral rights, and legal access are not transferred to Xidar.
  • Field support clauses remain conditional on feasibility and safety.
  • Xidar may request proof of authorization where necessary.
Confidentiality, IP, and liability boundaries

The agreement reflects Xidar’s standard approach to confidentiality, intellectual property, non-circumvention, force majeure, suspension, and liability limitation. It clarifies what the client can use, what Xidar retains, and how disputes are handled.

  • Proprietary workflows and internal methodologies remain Xidar property.
  • Clients receive a non-exclusive internal-use license to paid deliverables.
